6. Orders, Payments, and Pricing
6.1 Order Placement
When you place an order through meals-dions.click, you are making an offer to purchase the selected food items at the stated prices. Dions reserves the right to accept or decline any order at its sole discretion. An order is confirmed only upon receipt of an order confirmation message from Dions.
6.2 Pricing
All prices listed on the Site are in United States Dollars (USD) and are subject to change without notice. Prices do not include applicable sales taxes, delivery fees, or other surcharges unless explicitly stated. Dions strives to maintain accurate pricing but is not responsible for typographical errors or pricing mistakes. In the event of a pricing error, Dions reserves the right to cancel the order and refund any payments made.
6.3 Payment Terms
Payment for all orders must be made at the time of order placement through the payment methods accepted on the Site. You authorize Dions to charge your selected payment method for the total amount of your order, including applicable taxes and fees. By providing payment information, you represent and warrant that:
- You are authorized to use the payment method provided
- The payment information is accurate and complete
- You will promptly update your payment information if it changes
Dions uses third-party payment processors and does not store your complete payment card information on its servers. All payment transactions are subject to the terms and conditions of the applicable payment processor.
6.4 Refunds and Cancellations
Refund and cancellation policies may vary depending on the nature of the order and the circumstances. Please contact us at [email protected] promptly if you need to cancel or modify an order or if you have concerns about a completed order. Dions will review refund requests on a case-by-case basis in accordance with our separate Refund Policy.
7. Food Safety, Allergens, and Dietary Information
Dions takes food safety seriously and makes reasonable efforts to provide accurate information about ingredients, allergens, and nutritional content. However, we cannot guarantee that all information is error-free or completely up to date. Cross-contamination with allergens may occur during food preparation.
You are solely responsible for verifying that any food product is suitable for your dietary needs, restrictions, or medical conditions before ordering. If you have severe allergies or specific dietary requirements, we strongly recommend that you contact us directly at [email protected] before placing an order. Dions shall not be liable for any adverse reactions, health consequences, or dietary issues arising from the consumption of our food products.
8. Intellectual Property Rights
All content, materials, and elements appearing on meals-dions.click, including but not limited to text, graphics, logos, images, photographs, audio clips, video clips, data compilations, and software, are the exclusive property of Dions or its content suppliers and are protected under United States copyright, trademark, trade dress, and other applicable intellectual property laws.
The Dions name, logo, and all related product and service names, design marks, and slogans are trademarks or trade dress of Dions. You may not use any of our trademarks, service marks, or trade dress without prior written permission from Dions.
Subject to these Terms, Dions grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content solely for your personal, non-commercial use. This license does not include the right to:
- Reproduce, copy, duplicate, or sell any portion of the Services
- Modify, translate, adapt, or create derivative works from any content on the Site
- Publicly display, perform, or distribute any content from the Site without express written permission
- Remove or alter any copyright, trademark, or other proprietary notices on the Site

Any unauthorized use of our intellectual property may constitute a violation of federal copyright law, trademark law, and other applicable laws, and may result in civil or criminal penalties.
9. User-Generated Content
If you submit, post, or provide any reviews, comments, feedback, suggestions, photographs, or other content ("User Content") through the Site or related channels, you grant Dions a non-exclusive, royalty-free, worldwide, perpetual, irrevocable, and fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media or format.
You represent and warrant that your User Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party, and that you have all necessary rights and permissions to grant the license described above. Dions reserves the right to remove any User Content that it determines, in its sole discretion, violates these Terms or is otherwise objectionable.
10. Third-Party Links and Services
Our Site may contain links to third-party websites, platforms, or services that are not owned or controlled by Dions. These links are provided for your convenience only. Dions has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
We encourage you to review the terms of service and privacy policies of any third-party sites you visit. Inclusion of any link on our Site does not imply endorsement by Dions of the linked site or service.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Dions does not warrant or represent that:
- The Services will be uninterrupted, timely, secure, or error-free
- The results obtained from using the Services will be accurate or reliable
- The quality of any products, services, information, or other materials purchased or obtained through the Services will meet your expectations
- Any errors in the software or content will be corrected
- The Site is free from viruses, malware, or other harmful components
Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, the warranties are limited to the maximum extent permitted by applicable law.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF DIONS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In no event shall Dions' total cumulative liability to you for all claims arising from or relating to these Terms or the Services exceed the greater of: (a) the total amount you paid to Dions for orders in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States dollars ($100.00).
The limitations of liability set forth above are fundamental elements of the basis of the bargain between Dions and you. The Services would not be provided without such limitations. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Dions and its respective officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service
- Your use or misuse of the Services or the Site
- Your violation of any applicable law, regulation, or third-party rights, including intellectual property rights or privacy rights
- Any User Content you submit, post, or transmit through the Services
- Any fraudulent, false, or misleading information you provide to Dions
- Any dispute between you and any third party arising from your use of the Services
Dions reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with Dions in asserting any available defenses.
14. Privacy Policy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, share, and protect your personal information. By using the Services, you consent to the data practices described in our Privacy Policy.
If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA). Please refer to our Privacy Policy for more information about your California privacy rights.
15. Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the United States and applicable state laws, without regard to any conflict of law principles that would require the application of the laws of any other jurisdiction.
You agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the competent federal or state courts located in the United States, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
Nothing in this section shall limit Dions' right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or other proprietary interests.
16. Dispute Resolution
16.1 Informal Resolution
Before initiating any formal legal proceedings, you agree to contact Dions at [email protected] and attempt to resolve the dispute informally. Dions will use reasonable efforts to resolve the dispute within thirty (30) days of receiving written notice. Both parties agree to negotiate in good faith to reach a mutually satisfactory resolution.
16.2 Binding Arbitration
If informal resolution is unsuccessful, you and Dions agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved through binding arbitration, rather than in court, in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in the United States, in a location mutually agreed upon by the parties.
The arbitrator's decision shall be final and binding on both parties and may be entered as a judgment in any court of competent jurisdiction. Each party shall be responsible for its own attorneys' fees and costs unless the arbitrator determines otherwise in accordance with applicable law.
16.3 Class Action Waiver
You and Dions each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration. If this class action waiver is found to be unenforceable, then the entire arbitration provision shall be void and any claims must be brought in a court of competent jurisdiction.
16.4 Exceptions
Notwithstanding the agreement to arbitrate, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, misappropriation of trade secrets, or infringement of intellectual property rights. Small claims court matters within applicable jurisdictional limits are also excluded from the arbitration requirement.
17. Consumer Protection Compliance
Dions is committed to complying with all applicable consumer protection laws in the United States, including but not limited to the Federal Trade Commission Act (FTC Act), which prohibits unfair or deceptive acts or practices in commerce. If you believe that Dions has engaged in any unfair or deceptive practices, you may file a complaint with the Federal Trade Commission at www.ftc.gov.
For California residents, additional consumer protections may apply under the California Consumer Legal Remedies Act (CLRA), California Unfair Competition Law (UCL), and other applicable California statutes.
18. Term and Termination
These Terms of Service shall remain in full force and effect as long as you continue to use or access the Services. Dions reserves the right, in its sole discretion, to:
- Suspend or terminate your access to the Services at any time, with or without cause and with or without notice
- Delete your account and any associated data in accordance with our Privacy Policy
- Refuse service to any individual or entity for any reason not prohibited by applicable law
- Modify or discontinue the Services or any portion thereof at any time
You may terminate your use of the Services at any time by discontinuing access to the Site and, if applicable, requesting deletion of your account by contacting us at [email protected].
Upon termination for any reason, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.
19. Changes to Terms of Service
Dions reserves the right to modify, amend, or update these Terms of Service at any time in its sole discretion. When we make material changes to these Terms, we will provide notice through one or more of the following methods:
- Posting a notice on our website at meals-dions.click
- Sending an email notification to registered users at their email address on file
- Updating the "Last Updated" date at the top of this page
Your continued use of the Services after any changes to these Terms constitutes your acceptance of the new Terms. If you do not agree with the modified Terms, you must stop using the Services immediately. We encourage you to review these Terms periodically to stay informed of any updates.
20. Severability
If any provision of these Terms of Service is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be severed from these Terms.
The invalidity, illegality, or unenforceability of any particular provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect as if the severed provision had never been included. The parties agree to negotiate in good faith to replace any invalid provision with a valid provision that most closely approximates the intent and economic effect of the invalid provision.
21. Waiver
No failure or delay by Dions in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right, power, or privilege. No single or partial exercise of any right, power, or privilege shall preclude any further exercise thereof or the exercise of any other right, power, or privilege. A waiver of any breach or default under these Terms shall not constitute a waiver of any subsequent breach or default.
22. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices, policies, or agreements published by Dions on the Site, constitute the entire agreement between you and Dions with respect to your use of the Services. These Terms supersede all prior and contemporaneous understandings, agreements, representations, warranties, and communications, whether oral or written, between you and Dions relating to the same subject matter.
No oral statement, advertisement, or prior course of conduct shall modify or supplement these Terms unless made in a written document signed by an authorized representative of Dions.
23. Force Majeure
Dions shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government orders or restrictions, labor disputes, civil unrest, war, terrorism, power outages, internet service disruptions, or any other unforeseen circumstances beyond Dions' reasonable control. In such cases, Dions' obligations shall be suspended for the duration of the force majeure event.
24. Assignment
You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Dions. Dions may freely assign or transfer its rights and obligations under these Terms to any affiliate, successor, or acquirer of all or substantially all of Dions' assets or business, without your consent. Any attempted assignment in violation of this provision shall be null and void.
25. Electronic Communications
By using the Services, you consent to receive electronic communications from Dions, including but not limited to order confirmations, receipts, promotional materials, and notices regarding changes to these Terms. You agree that any notices, agreements, disclosures, or other communications sent to you electronically satisfy any legal requirement that such communications be in writing. You may opt out of promotional communications at any time by following the unsubscribe instructions in any promotional email or by contacting us directly.
26. Accessibility
Dions is committed to making its Services accessible to all users, including individuals with disabilities. We strive to comply with applicable accessibility standards and guidelines. If you experience difficulty accessing any portion of our Site or Services, please contact us at [email protected] and we will make reasonable efforts to assist you.
